EfficusAI – Terms of Service

Welcome to EfficusAI Ltd. ("EfficusAI", "we", "our", or "us"). These Terms of Service ("Terms") explain the agreement between you and EfficusAI regarding your use of our AI automation products, services, and solutions (collectively, the "Services"). By completing our onboarding form or making any payment, you confirm that you’ve read and accepted these Terms and our Privacy Policy.

 
1. Agreement to Terms

By engaging with our Services, submitting onboarding details, or completing a purchase, you agree to be bound by these Terms. This applies to all users, including clients, partners, and representatives.

 
2. Our Services

EfficusAI offers custom-built AI systems designed to streamline and enhance business operations. These may include:

AI chatbots and voice agents
Automated lead magnets and conversion tools
CRM and workflow automation
Data enrichment and backend integrations
Each solution is tailored based on your onboarding inputs and our mutual agreement before development begins.

 
3. Project Delivery

Our work is considered delivered when any of the following occur:

A live system, link, dashboard, or bot is deployed
A deliverable is shared via email or workspace
Any backend or automation is activated
You access or test any component we build
Progress and delivery are tracked internally to ensure visibility. Partial delivery still counts toward fulfillment.

 
4. Payment, Cancellation & Refunds

Due to the custom nature of our work, all payments are non-refundable. This includes setup fees, project retainers, consultations, and automation builds.

Once we begin working or allocate internal resources to your project, the work is considered in progress. At that point, cancellation is no longer possible. We do not offer refunds for completed or in-progress services.

If you no longer wish to continue with a monthly retainer, you may choose not to renew at the end of the current billing cycle. No charges will occur beyond that period.

 
5. Post-Retainer Migration Support

If you discontinue your retainer:

You retain access to all completed deliverables
Hosted services (e.g., bots, integrations) may be paused or deactivated
We offer migration assistance upon request to help you transition systems. A one-time transfer or export fee may apply.
Ongoing support, maintenance, or platform access ends when your retainer concludes.

 
6. Your Responsibilities

To ensure smooth delivery, you agree to:

Provide accurate and timely onboarding information
Respond to project communications as needed
Maintain necessary systems or permissions to implement solutions
We are not responsible for delays caused by missing access, content, or client response.

 
7. Chargebacks & Disputes

By using our Services, you agree not to initiate a chargeback without first contacting us to resolve the issue.

We maintain detailed records of all onboarding agreements, delivery milestones, and communications. These serve as evidence that Services were authorized and provided. Disputes filed after work begins are ineligible for refund under Visa and Mastercard guidelines.

 
8. Intellectual Property

All tools, systems, code, and content developed by EfficusAI remain our intellectual property unless otherwise agreed in writing. You receive a license to use them within your business. Resale, redistribution, or replication is not permitted without our written consent.

 
9. Data Protection & Privacy

We are committed to safeguarding your data in compliance with UK GDPR and related laws. Please refer to our Privacy Policy for full details on how your information is used and protected.

 
10. Third-Party Services

We may use external tools and platforms (e.g., OpenAI, Make.com, Zapier, Relevance AI) as part of your solution. We are not liable for issues, downtime, or data errors caused by those third-party systems.

 
11. Termination of Service

We reserve the right to suspend or terminate your Services if:

Payment fails or remains unpaid
You breach these Terms
You misuse our technology or brand
A payment dispute is filed in bad faith
Upon termination, all Services and access may be revoked. Any unpaid balances will remain due.

 
12. Updates to These Terms

We may update these Terms occasionally. When we do, we’ll revise the "Last Updated" date above. Continued use of our Services indicates your acceptance of any updates.

 
13. Governing Law

These Terms are governed by the laws of England and Wales. All disputes will be handled exclusively in UK courts.
